 Issue of equity

 Tharisa announces that 1 089 685 ordinary shares of US$0.001 each have been allotted to satisfy
 obligations under the employee Share Award Plan.

 Application has been made to the Johannesburg Stock Exchange (JSE), UK Listing Authority and the
 London Stock Exchange (LSE) for the admission of 1 089 685 new ordinary shares to the official list and
 to trading on the main market of the JSE and the LSE. Admission of the shares is expected to occur on 30
 June 2016.

 Following admission, Tharisa will have 256 981 571 ordinary shares in issue with voting rights. Tharisa
 does not hold any shares in treasury and therefore the total of 256 981 571 ordinary shares may be used
 by shareholders as the denominator for the calculations by which they will determine whether they are
 required to notify their interest in, or a change to their interest in, Tharisa under the FCA's Disclosure
 and Transparency Rules.
