COMPLIANCE NOTICE - INTERWASTE’S FG LANDFILL SITE

Shareholders are advised that Inter-Waste (Pty) Ltd (“Interwaste”), the main operating
subsidiary of the Company, has been in discussions with the Gauteng Department of
Agriculture and Rural Development (GDARD") since 2014 regarding the terms of its
license to operate the FG landfill. The parties were unable to reach agreement on the
interpretation of the provisions of the license and Interwaste received a compliance
notice from GDARD on 29 March 2016 requiring cession of operations on Interwaste’s
FG Landfill Site. The notice alleged that the site’s licence was no longer valid as it had
not been renewed, even though the license does not contain an expiry date. The
operation of the notice was immediately suspended pending a decision by the applicable
MEC on an objection against it, lodged by Interwaste, and the site remained in
operation. On 7 June 2016, the MEC dismissed Interwaste’s objection.

Today, Interwaste launched an urgent application for the suspension of the compliance
notice pending an application for the review and setting aside of the decision by the
MEC and the applicable GDARD officials. On the basis of legal advice obtained by it,
Interwaste is of the view that the renewal condition in the licence has been
misinterpreted by the authorities and is unlawful and ultra vires the National
Environmental Management: Waste Act. The compliance notice is therefore also
unlawful. The issue at hand is administrative in nature and is in no way related to
operations at the landfill.

Interwaste has been the subject of a number of press articles containing allegations that
its operations at FG landfill cause odours which impact on the residents of a nearby
community. The Company is working with the Department of Environmental Affairs in
this regard and notes that numerous tests performed on the emissions from the landfill
confirm the Company's compliance with applicable environmental laws and regulations.

Interwaste has alternative waste disposal facilities, including the newly constructed
Klinkerstene Landfill, and has access to third party facilities, in the event that the
abovementioned application is unsuccessful and it is required to divert waste streams
from the FG Landfill Site.
