The Proceeds equate to a 7.6% premium to the 30 day volume weighted average price of a Trans Hex share traded on the securities exchange operated by the JSE Limited (“JSE”) calculated on the day prior to Northam entering into the Transaction. Trans Hex is a diamond producer and marketer listed on the JSE. Northam’s minority interest in Trans Hex originated from its acquisition of Mvelaphanda Resources Limited in June 2011 and was not considered core or material to Northam’s platinum group metal (“PGM”) business. Paul Dunne, Northam’s chief executive officer, said: “The disposal of a non-core asset for cash provides additional funding for Northam to pursue its growth strategy in a focused PGM portfolio.” The Proceeds represent less than 5% of Northam’s current market capitalisation and therefore the Transaction is not classified as a “categorised transaction” in terms of the JSE Limited Listings Requirements.
