NOTIFICATION OF WITHDRAWAL BY REGISTRAR OF FINANCIAL SERVICES PROVIDERS
OF VIRTUS’ AUTHORISATION TO ACT AS FINANCIAL SERVICES PROVIDER AND
CAUTIONARY ANNOUNCEMENT

Virtus Financial Services (Pty) Limited (“Virtus”) is a wholly owned subsidiary of Stratcorp. Since
2009 the Registrar of Financial Services Providers (“Registrar”) has been conducting investigations
into the affairs of Virtus. Various notices were issued over the years, which invited Virtus to respond.
Virtus responded to these notices. Shareholders are referred to various previous announcements in
this regard on SENS over the last few years.


On 26 April 2016 the Registrar, without prior notice to Virtus, notified Virtus that, having regard to all
available facts and information referred to in the previous notices and responses, the Registrar is
satisfied that Virtus no longer meets the requirements contemplated in section 8 of the Financial
Advisory and Intermediary Services Act, no 37 of 2002 (“Act”), read with the Determination of Fit
and Proper Requirements for Authorised Financial Services Providers and Representatives, 2006.
As a result, the Registrar has decided to effect the withdrawal of Virtus’ authorisation to act as
financial services provider (“FSP”) in terms of section 9 of the Act.


The Registrar imposed certain terms to the withdrawal of Virtus to act as an FSP which have been
addressed in the submission document delivered to the FSB.


A response to the Notice was delivered to the Registrar of the FSB on 28 April 2016 and the Board
awaits their reply. The Registrar was advised that the necessary remedial action is being taken by
the new Board of Directors and further announcements will be made in due course.


Under the circumstances shareholders are advised to exercise caution when dealing in the
company’s securities until a further announcement is made.
