MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS


Notifications made in accordance with Disclosure Rule 3.1.4R(1)(a) of the Disclosure Rules
and Transparency Rules.


1.   The Company was notified on 5 April 2016 that the independent Trustee of the British
     American Tobacco Group Employee Trust had on 31 March 2016 released the
     following number of British American Tobacco p.l.c. 25p ordinary shares (the “Shares”)
     granted to the following person discharging managerial responsibilities under the 2013
     Long-Term Incentive Plan (“2013 LTIP”):

2.   The Company was notified on 5 April 2016 by the trustees of the British American
     Tobacco Employee Share Ownership Plan and the British American Tobacco
     International Employee Share Ownership Plan (together the “Plans”) that on 1 April
     2016 Shares were awarded to the Executive Directors and other persons discharging
     managerial responsibilities listed below by way of the Share Reward Scheme and the
     International Share Reward Scheme respectively (the Free Shares element of the
     Plans) at a price of 4,090 pence per Share.

     The number of Shares awarded to each Participant was as follows:

     Tobacco International Employee Share Ownership Plan (the “Plan”) (the “Trustee”)
     that on 4 April 2016 awards of Shares made under the 2013 International Share
     Reward Scheme (“ISRS”) had vested and, in accordance with the rules of the Plan, the
     Trustee had transferred accrued dividend shares to the person discharging managerial
     responsibilities as follows:
