CHANGE IN THE BOARD OF DIRECTORS

Brait’s Board of Directors ("Board") would like to extend its welcome to
John C. Botts who has been appointed as an Independent Non-Executive
Director of the Company with effect from 29 January 2016.

John is senior advisor in the London office of investment firm Allen &
Company and a senior advisor and member of the investment committee at
Corsair Capital. He is the non-executive chairman of Euromoney
Institutional Investor plc as well as fulfilling this role on the boards of
several privately owned companies. John was the non-executive chairman of
United Business Media plc from 2007 to 2012. In 1987 he founded his own
investment banking and private equity firm, Botts & Company Ltd, in
conjunction with Allen & Company. Prior to his current roles, John served
in a variety of capacities at Citibank, including chief executive officer
and then chairman of Citicorp Investment Bank Limited in Europe, Middle
East and Africa. John also served as chairman of Citicorp’s Venture
Capital Investment Committee in Europe. He has more than forty years of
experience in investment banking, corporate finance, and private equity. In
2003, John was awarded an Honorary Commander of the Order of the British
Empire (CBE) in recognition of his contribution to the arts in the United
Kingdom. John has a BA from Williams College, Massachusetts.

Shareholders of the Company are advised that Colin Keogh has resigned as a
Non-Executive Director from the Board with effect from 29 January 2016 for
personal reasons. The Board extends their appreciation for his contribution
to Brait since his appointment on 28 July 2010.
