RESULTS OF ANNUAL GENERAL MEETING


Shareholders are advised that at the annual general meeting of shareholders held on Wednesday, 27 January 2016 (in terms of the
notice of annual general meeting dispatched to shareholders on 30 November 2015), all of the resolutions tabled thereat were
passed by the requisite majority of Indluplace shareholders.

Details of the results of voting at the annual general meeting are as follows:

-      total number of Indluplace shares that could have been voted at the annual general meeting: 238 134 907; and
-      total number of Indluplace shares that were present/represented at the annual general meeting: 214 178 187 being 90% of
       the total number of Indluplace shares that could have been voted at the annual general meeting.
