POSTPONEMENT OF FINALISATION ANNOUNCEMENT
Iliad shareholders are referred to the announcement released on SENS on Tuesday, 29 September 2015
advising that the cash offer by Steinhoff International Holdings Limited to acquire all the issued shares of
Iliad by way of a scheme of arrangement in terms of section 114 of the Companies Act 71 of 2008, as
amended, (the “Scheme”) was approved by the requisite majority of Iliad shareholders.
Iliad shareholders are advised that certain conditions precedent pertaining to the Scheme have not yet
been fulfilled or waived and, accordingly, Iliad will not be in a position to publish a finalisation
announcement today, as envisaged in the circular posted to shareholders. As a result the timetable set out
in the circular will no longer apply and Iliad shareholders will be advised of the revised timetable once all
the conditions precedent attendant on the Scheme have been fulfilled.
