ISSUE OF SHARES TO THE SIYAKHA EDUCATION TRUST


Shareholders are advised that, pursuant to the general authority to issue shares for Black Economic Empowerment
purposes granted by shareholders to the company at the annual general meeting held on 11 November 2015 (the
“AGM”), Resilient will issue 8 695 652 ordinary shares totalling R1 billion to The Siyakha Education Trust (“the
Trust”) on Friday, 13 November 2015.

In order to enable it to subscribe for the 8 695 652 ordinary shares, Resilient provided financial assistance to the Trust
in terms of the authority granted by shareholders to the company at the AGM for the purchase of the company’s
ordinary shares for the purposes of effecting Black Economic Empowerment.

The Trust is a charitable trust and is registered as a public benefit organisation. The Trust’s focus is the upliftment of
black education in South Africa.
