PROGRAMME: NOTICE TO NOTEHOLDERS – INCREASE IN THE PROGRAMME
AMOUNT
Reference is made to the DENEL SOC Limited ZAR2,200,000,000
Domestic Medium Term Note Programme ("Programme") under which it
may, from time to time, issue notes ("Notes") pursuant to the
consolidated Programme Memorandum, dated 18 September 2012, as
amended and/or supplemented from time to time.
On 23 October 2015, the Board of Directors of the Company
resolved that the maximum aggregate Outstanding Principal Amount
of all of the Notes that may be issued under the Programme at any
one point in time ("Programme Amount") be increased from
ZAR2,200,000,000 to ZAR3,000,000,000.
Noteholders are hereby notified that, on and with effect from the
date of this Notice, the Programme Amount is increased from
ZAR2,200,000,000 to ZAR3,000,000,000.
On and with effect from the date of this Notice, all references
in the Programme Memorandum (and each agreement, deed or document
relating to the Programme and/or the Programme Memorandum) to the
Programme Amount will be, and will be deemed to be, references to
the increased Programme Amount set out in this Notice.
