This informative notice is issued for information purposes only and should not be used as the
basis for investment decisions.

Pursuant      to the Scheme being implemented, existing shareholders of Steinhoff International
Holdings      Ltd will receive one new share in Genesis International Holdings N.V. for every
Steinhoff     share held. Steinhoff will become a wholly-owned subsidiary of Genesis N.V. and
its listing   on the JSE will be terminated.

The standard FTSE/JSE index treatment of a scheme of arrangement of this nature is to
replace the target company with the acquiring company in all indices of which the target
company is a constituent of. Therefore, Genesis N.V. is expected to replace Steinhoff in all
FTSE/JSE indices on a one for one basis.

Genesis N.V. will obtain an Inward Secondary listing on the JSE and will be listed on the
Prime Standard of the Frankfurt Stock Exchange a week later. As an inward listing, listed on
the JSE after October 2011, Genesis N.V. will be treated as foreign for index purposes and
its free float will thus be determined by the minimum of the number of total holdings on the
Strate Register and the Company Free Float, as set out in Ground Rules 13.1 and 6.3. Due
to the Frankfurt listing taking place one week after the JSE listing, all scrip is expected to be
available on the Strate Register upon inward listing on the JSE. Steinhoff currently has a
Company Free Float of 66% in the FTSE/JSE Africa Index Series.

Genesis N.V. intends to pass a resolution required to change its name to Steinhoff
International Holdings N.V.

The finalisation and implementation of this event in the FTSE/JSE Africa Index Series is
subject to public notification from Steinhoff International Holdings Ltd and/or Genesis
International Holdings N.V. and confirmation by the FTSE/JSE governance structures.
