Changes to the Board

Hwange Colliery Company Limited wishes to inform its stakeholders of the following
changes to its Board of Directors:

RESIGNATION OF BOARD CHAIRMAN

Mr Farai Mutamangira resigned as Chairman and Director of the Company with effect from
Friday 09 October 2015.

Mr Mutamangira has been Chairman of the Board since August 2011, and steps down after
advising of his acceptance of an engagement elsewhere, and to pursue other interests. The
Board would like to thank him for his invaluable contribution to the Company over the years
and wish him well in his future endeavors.

APPOINTMENT OF BOARD CHAIRMAN

Following the stepping down of Mr Mutamangira, the Board of Directors of Hwange Colliery
Company Limited is pleased to announce the appointment of Mr Jemister Chininga as the
new Board Chairman effective 15 October 2015. Jemister has been a Non Executive
Director of the Company since August 2011. He is an accomplished Business Executive and
strategist with vast technical knowledge and management experience spanning across both
the private and public sectors of the economy. Jemister’s career has seen him holding the
position of Deputy Secretary (Finance and Administration) in the then Ministry of Industry
and International Trade while still in the Public Service and was also Chairman of the
Zimbabwe Government Tender Board (SPB).

Jemister is a former Managing Director of Ramotswa Steel and Iron Company (a subsidiary
of ZISCO) based in Botswana. He has also been Group Managing Director of ZISCO
subsidiaries in Botswana, Namibia and Zambia. He acted as the Managing Director of
Hwange Colliery Company Limited for the period 1 August 2013 to 31 May 2014.

He has held directorships in Olivine Holdings, Centre for Innovation and Enterprise
Development (CIED), Zimbabwe Iron and Steel Commission (ZISCOM), Standards
Association of Zimbabwe (SAZ), the Minerals Marketing Corporation of Zimbabwe (MMCZ),
Zimbabwe Defence Industries and Sandawana Mines (Private) Limited, a subsidiary of
Zimbabwe Mining Development Corporation (ZMDC). He is a current Board Member of
Zimchem Refineries (Private) Limited.
He holds a Bachelor of Business Administration degree from United States International
University, San Diego, California among other qualifications and has attended several
acclaimed Management Development Programmes and Courses.
