RESULTS OF THE PRIVATE PLACING AND LISTING ON THE MAIN BOARD OF THE JSE LIMITED

Reference is made to the pre-listing statement issued by Sygnia on Thursday, 1 October 2015 and the
abridged pre-listing statement released on the Stock Exchange News Service of the JSE Limited (“JSE”) on
the same date, relating to an offer for subscription by Sygnia, and an offer for sale by an existing
shareholder, to select institutional and other investors in South Africa to subscribe for, or purchase, up to
31,224,834 ordinary shares in Sygnia, for cash, at a price of R8,40 per ordinary share, amounting to a
capital raise of R262,288,606 (“the Private Placing").


The board of directors of Sygnia is pleased to announce that subscriptions of 19.8 times the Private Placing
were received, and the Company has successfully placed 31,224,834 ordinary shares for an aggregate
amount of R262,288,606. All conditions precedent to which the Private Placing was subject, have been
fulfilled. The allocated ordinary shares will be transferred to successful applicants on a ‘delivery-versus-
payment’ basis on Wednesday, 14 October 2015.


Accordingly, 137,178,000 ordinary shares in Sygnia will be listed in the Financial Services sector of the JSE
under the abbreviated name "SYGNIA" with share code: SYG and ISIN: ZAE000208815, with effect from the
commencement of trade on Wednesday, 14 October 2015.
