AGCHEM MINORITIES’ ACQUISITION AND BRAGAN CHEMICALS ACQUISITION
AND SPECIFIC ISSUE OF SHARES FOR CASH BECOME UNCONDITIONAL

Shareholders are referred to the announcement published on SENS
on 4 June 2015 regarding, inter alia, the acquisition of the
remaining minority shareholders’ 30% interest in AgChem (“The
AgChem Transaction”) and the announcement published on SENS on
15 July 2015 and the circular to shareholders issued by the
Company on 30 July 2015, regarding the acquisition by Rolfes of
100% of the equity in Bragan Chemicals and a capital raising by
way of a specific issue of shares for cash (“The Bragan
Transaction”). Shareholders are hereby notified that all of the
conditions precedent to both the AgChem Transaction and the
Bragan Transaction have been fulfilled and that both
transactions have accordingly become unconditional.
