CLARIFICATION TO CAUTIONARY ANNOUNCEMENT

Sovereign shareholders (“Shareholders”) are referred to the cautionary announcement published on
Thursday, 1 October 2015 (“Cautionary”).

The Cautionary was published in terms of the provisions of the JSE Limited Listings Requirements
(“Listings Requirements”).

Following the publication of the Cautionary, there has been speculation by certain market
commentators as to the developments which have given rise to the Cautionary, including by stating
that Sovereign might be the subject of a take-over bid from a competitor (“Competitor Transaction”).

In order to avoid the potential creation of an artificial price for the Company's securities and in
adherence to the requirements of the Financial Markets Act, No. 19 of 2012 and pursuant to the
General Principles of the Listings Requirements, Sovereign confirms that:

    1. The Cautionary does not in any way relate to a Competitor Transaction. The board of
       directors of Sovereign (“Board”) is not aware of a Competitor Transaction and the Board is
       not engaged in any discussions in this regard.

    2. The Board is currently considering implementing a number of potential strategic initiatives,
       including the conclusion of a black economic empowerment transaction, which initiatives and
       transaction are now at an advanced stage (“Potential Transaction and Initiatives”).

    3. The Cautionary relates to the Potential Transaction and Initiatives.

Accordingly, Shareholders are advised to continue to exercise caution when dealing in the Company’s
securities until a further announcement is made.
