DEALINGS IN SECURITIES BY DIRECTORS AND DIRECTORS OF A MAJOR SUBSIDIARY OF CIG


Shareholders are advised of the following information relating to the allocation of share appreciation rights and the awarding
of performance shares under the Consolidated Infrastructure Group Limited 2014 Share Plan (“Share Plan”) to directors of
CIG and to directors of a major subsidiary of CIG in accordance with the following conditions:

    -   vesting of share appreciation rights will occur in in equal thirds on the 3rd, 4th and 5th anniversaries of the date of
        allocation and will be subject to certain performance conditions being met, including the appreciation of the fair
        market value of CIG shares;

    -   vesting of performance shares will occur on the 3 rd anniversary of the date of award and the number of shares awarded
        will be determined by the company’s performance over the intervening three year period measured against a pre-
        determined peer group.
