ADDITIONAL UPSTREAM GUARANTOR

In accordance with the Terms and Conditions of the Real People
ZAR5,000,000,000 Domestic Medium Term Note Programme, investors
are herewith advised that with the effect from 08 December 2014,
Real People has procured a further Upstream Guarantee (“the
Guarantee”) from Real People Kenya Limited (“the Guarantor”),
which guarantee will be for the benefit of all noteholders.

Overview of the Guarantee

The Guarantee is irrevocable and unconditional as a primary
obligor and not merely as a surety.

In accordance with the terms of the Guarantee, the Guarantor
will make payment of any obligations that arise as a result of
the Guarantee to the Paying Agent within 10 Business Days after
receipt of a demand in writing.

The guarantee will be held by Real People at its registered
office.

Real People Kenya Limited is a subsidiary of Real People
Investment Holdings Limited, a registered financial services and
credit provider for businesses and homes in East Africa.

Real People Kenya Limited focuses      on providing responsible
finance solutions to individuals and    businesses. The business
and asset finance loan products        are geared towards the
realization of the corporate vision     of sustainably improving
lives.
