DIRECTORATE CHANGE


Further to the announcement on 29 December 2014, advising that Andrew Rowell, the Chief Financial Officer of
Redefine International, had tendered his resignation as a director of the Company, Redefine International confirms
that Andrew will be stepping down from the Board on 31 May 2015.
In accordance with section 430(2b) of the Companies Act 2006 and in line with the current remuneration policy,
approved by shareholders on 29 January 2015, the following remuneration payments will be made to Andrew
Rowell:-

    -   Base Salary: this will be paid up until the date of 31 May 2015;

    -   Pension and other benefits: all payments will cease on 31 May 2015;

    -   Bonus: although there is no obligation to award a bonus, the Remuneration Committee has decided to grant a
        pro-rata bonus, based on his existing bonus arrangements, of £65,000, reflecting Andrew’s exceptional
        contribution during the year and his commitment to further assist the Company over a substantial transition
        period following his ceasing to be a director; and

    -   Performance Share Plan: none of the contingent share awards will vest.

The appointment of Donald Grant as the new Chief Financial Officer was announced on 30 April 2015.
