Dealing in securities pursuant to the Dinokana restructure Sun International Limited (“Sun International” or the “Company”) (Incorporated in the Republic of South Africa) (Registration number: 1967/007528/06) Share code: SUI ISIN: ZAE000097580 DEALING IN SECURITIES PURSUANT TO THE DINOKANA RESTRUCTURE As a result of the original black economic empowerment transaction entered into by Sun International during 2005 (“Original BEE Transaction”), certain qualifying Sun International directors and officers (“Participants”) participated in the Original BEE Transaction and consequently held an indirect beneficial shareholding in Sun International through Dinokana Investments (Pty) Limited. Subsequently and as a result of the restructure of the Original BEE Transaction as announced on SENS on 16 February 2015 and as detailed in the circular issued to Sun International shareholders on 3 March 2015 (“Circular”), the Participants selected a combination of the exit options as detailed in the Circular. The effect of exercising the exit options has resulted in the Participants using certain proceeds from the restructure to acquire Sun International shares which in effect changes their previous indirect beneficial shareholding in Sun International shares to a direct beneficial shareholding in Sun International shares. As a result of the above mentioned changes and in compliance with the JSE Limited Listings Requirements, the following information relating to the purchase of Sun International shares is disclosed: Director : MV Moosa Company : Sun International Limited Date of transaction : 20 May 2015 Number of shares purchased : 143 345 Selling price per share : R128.39 Value of transaction : R18 404 064.55 Class of shares : Ordinary shares of R0,08 each Nature of interest : Direct beneficial Nature of trade : Off-market Director : NN Gwagwa Company : Sun International Limited Date of transaction : 20 May 2015 Number of shares purchased : 70 224 Selling price per share : R128.39 Value of transaction : R9 016 059.36 Class of shares : Ordinary shares of R0,08 each Nature of interest : Direct beneficial Nature of trade : Off-market Company Secretary : CA Reddiar Company : Sun International Limited Date of transaction : 20 May 2015 Number of shares purchased : 2 224 Selling price per share : R128.39 Value of transaction : R285 539.36 Class of shares : Ordinary shares of R0,08 each Nature of interest : Direct beneficial Nature of trade : Off-market Sandton 21 May 2015 Investment bank and transaction sponsor to Sun International Investec Bank Limited Sponsor to Sun International RAND MERCHANT BANK (A division of First Rand Bank Limited) Date: 21/05/2015 08:32:00 Produced by the JSE SENS Department.
