As required in terms of the JSE Limited Listings Requirements,
Anglo American Platinum hereby advises shareholders of the vesting
and subsequent sale of shares in terms of the Company’s Bonus
Share Plan (“BSP”) and Long Term Incentive Plan (“LTIP”)
(together, the “schemes”).
Today’s announcement relates to the vesting of BSP awards granted
on 10 May 2012 and LTIP awards granted on 10 May 2012 and 18 July
2012, which awards have vested on 11 May 2015, as per the rules of
the two schemes. The BSP awards are subject to a three year
holding period. The LTIP awards are subject to certain stringent
performance conditions and vest after a three year period, only if
the pre-determined performance conditions are met. The details of
the two schemes are set out in the Remuneration Report contained
within the Company’s 2014 Integrated Report.
In terms of the rules of the two schemes, the Company is required
to sell adequate shares to fund the tax obligation of directors
that arises on the vesting date.

VESTING OF LTIP CONDITIONAL AWARDS GRANTED ON 10 MAY 2012 AND 18 JULY 2012
The LTIP conditional awards granted on 10 May 2012 and 18 July
2012 vested on 11 May 2015. The awards granted on 10 May 2012 were
subject to a three year vesting period, while those granted on 18
July 2012 were subject to a shorter vesting period, as approved by
the Company’s Remuneration Committee. The LTIP conditional awards
were subject to two performance criteria being met in terms of the
LTIP rules. As the performance conditions were partially
satisfied, only 60.92% of the awards have vested.
