DISCLOSURE OF DISPOSAL OF SECURITIES IN TERMS OF SECTION 122 OF
THE COMPANIES ACT

In accordance with section 122(3)(b) of the Companies Act, No.
71 of 2008, as amended (the “Act”), and paragraph 3.83(b) of the
Listings Requirements of the JSE Limited, shareholders are
hereby advised that the Company has received formal notification
in the prescribed form of the following movement in the
securities of the Company:

-   VRE Investments Proprietary Limited, a company which forms
    part of Titan Group Investments Proprietary Limited, has
    disposed of Stellar Capital shares (the “Shares”) resulting
    in a decrease of its interest in the securities of the
    Company to 6.24%.

The Shares were disposed of as follows-
-   Wikalox Investments Proprietary Limited (an associate of Adv
    JD Wiese): 10 034 375 shares;
-   Metcap 14 Proprietary Limited (an associate of Ms Clare
    Wiese,   an   independent  non-executive  director   of  the
    Company):  14 million shares, as announced on SENS on
    8 May 2015; and
-   Cream Magenta 140 Proprietary Limited (an associate of Ms
    Christina Wiese, an independent non-executive director of
    the Company): 14 million shares, as announced on SENS on 8
    May 2015.

As required in terms of section 122(3)(a) of the Act, the
Company has filed the required notice with the Takeover
Regulation Panel.
