Notice in terms of section 45(5)(a) of the Companies Act, 71 of 2008 ATTACQ LIMITED (Incorporated in the Republic of South Africa) (Registration number 1997/000543/06) JSE share code: ATT ISIN: ZAE000177218 (“Attacq” or “the Company”) NOTICE IN TERMS OF SECTION 45(5)(a) OF THE COMPANIES ACT, 71 OF 2008 In terms of Section 45(5)(a) of the Companies Act,71 of 2008 (“the Act”), notice is hereby given that the board of directors of Attacq, pursuant to a board resolution adopted on 11 March 2015, authorised the Company to provide financial assistance to certain of its subsidiaries as described below, in terms of section 45 of the Act, pursuant to the authority granted to the board of directors by shareholders at the annual general meeting of the Company held on 19 January 2015. The board of directors of the Company, before authorising the Company to provide the financial assistance in terms of section 45 of the Act, has satisfied itself that: - immediately after providing the financial assistance, the Company would satisfy the solvency and liquidity test contemplated in section 4 of the Act; - there has been due compliance with the requirements of the Company’s memorandum of incorporation and with the Act, and - the terms upon which the financial assistance is to be given are fair and reasonable to the Company. The provision of financial assistance arose as a result of Attacq’s commitment to bind itself to and in favour of Standard Bank of South Africa Limited, Absa Bank Limited and Nedbank Limited, as guarantor for the due and punctual performance by Attacq Retail Fund Proprietary Limited and Lynnwood Bridge Office Park Proprietary Limited for the refinancing of the following properties: - Glenfair Boulevard; - Lynnwood Bridge Offices, Lynnwood Bridge Retail, Lynnwood Bridge City Lodge and Lynnwood Bridge Offices – Phase 3; - Garden Route Mall; - Mooirivier Mall; - Eikestad Mall; - Andringa Walk; - Mill Square; and - Brooklyn Mall, which properties will be provided as security for the facility.
