NOTICE TO SHAREHOLDERS OF CLIENTELE IN TERMS OF SECTION 45(5) OF THE
COMPANIES ACT, 71 OF 2008 ("THE COMPANIES ACT")

Notice is hereby given as required in terms of Section 45(5) of the 
Companies Act, that pursuant to the authority granted to the board of 
Clientele by its shareholders at the annual general meeting of shareholders
held on 30 October 2014, the board of Clientele has adopted a resolution to
provide financial assistance (by way of guarantee) to a related entity, as
contemplated in section 45 (2) of the Companies Act.

The resolution passed by the board of directors of Clientele on 12 February
2015 approved the aggregate guarantees of R 100 000 000 for a building
project loan facility and the building contractor payment guarantee of
R 15 000 000 to be utilised by the subsidiary Clientele Properties East
(Pty) Ltd.

Clientele will be delivering a copy of this announcement to shareholders
recorded in the register on 12 February 2015, as written notice of that
resolution, in compliance with section 45(5) of the Companies Act.
