                                   Remuneration Committee Change at BHP Billiton

 On 12 December 2014 Carolyn Hewson was appointed Chairman of the Remuneration Committee
 with effect from 1 January 2015. Ms Hewson joined the Board in 2010 and has been a member of the
 Remuneration Committee since January 2014.
 
 Sir John Buchanan has chosen to retire as Remuneration Committee Chairman, having led the
 Committee since 2003. During this time the Committee established a performance driven
 remuneration framework including the five year Long Term Incentive Plan for executives, which has
 served shareholder and employee interests well. He remains a member of the Remuneration
 Committee and Senior Independent Director of BHP Billiton Plc.
