RESULTS OF PRIVATE PLACEMENT AND LISTING ON THE MAIN BOARD OF THE JSE


Investors are referred to:

-     Pivotal’s prospectus issued on Tuesday, 25 November 2014 and the abridged prospectus released on SENS on
      the same date, detailing the offer by way of a private placement of Pivotal ordinary shares to invited investors
      and the subsequent listing on the JSE of the company’s shares (“the private placement”); and

-     the announcement released on SENS on Thursday, 27 November 2014 relating to the confirmation of issue
      price, closing of offer and update regarding salient dates and times.

The private placement was substantially oversubscribed and Pivotal has successfully raised an aggregate amount of
R1.02 billion, by placing 60 000 000 of its shares with invited investors at an issue price of R17.00 per private
placement share.

Successful applicants will be notified of their allocations by Wednesday, 3 December 2014. The allocated shares will
be credited to successful applicants on a ‘delivery-versus-payment’ basis on the date of listing being Monday,
8 December 2014.

An application has been made to the JSE for the listing of 301 252 659 Pivotal ordinary shares in the “Real Estate –
Real Estate Holdings and Development” sector of the Main Board of the JSE with effect from the commencement of
trade on the JSE on Monday, 8 December 2014. Shares will trade under the abbreviated name: “Pivotal”, JSE share
code: PIV and ISIN: ZAE000196440.
