RETIREMENT OF NON-EXECUTIVE DIRECTOR AND CHANGE IN DIRECTOR’S
FUNCTION

In compliance with section 3.59 of the JSE Limited Listings Requirements, shareholders are
advised that non-executive director, Bill Nairn will reach the mandatory retirement age for
directors at the end of December 2014 and will be retiring from the Murray & Roberts Board
of Directors (“Board”) with effect from 1 January 2015.

Bill’s retirement from the Board will also result in his retirement as a Chairman of the Heath,
Safety & Environment Committee, as well as his retirement as a member of the Social &
Ethics Committee and the Risk Management Committee.

Ralph Havenstein has been appointed as the Chairman of the Heath, Safety & Environment
Committee with effect from 1 January 2015.

The Board is thankful for Bill’s contribution to the Company over the last 5 years and
wishes him well in his future endeavours.
