NOTIFICATION IN TERMS OF SECTION 122(3) OF THE COMPANIES ACT AND
SECTION 3.83(b) OF THE JSE LISTINGS REQUIREMENTS - Voluntary announcement

In accordance with section 122(3)(b) of the Companies Act, 71 of 2008 ("the Act"), and
section 3.83(b) of the JSE Listing Requirements, holders of ordinary shares in Ascendis are
advised that, following the Ascendis capital rasie and Coast2Coast Investments Proprietary
Limited’s participation by way of a minor sell down of its shareholding in the Company as per
the SENS announcement released on 7 November 2014 and as effected on 21 November
2014, Coast2Coast Holdings Proprietary Limited Group’s (“Coast2Coast”) beneficial
interests of the securities of the Company amount to 43.33% of the total number of shares in
issue.

Ascendis hereby confirms that it has received the required notice from Coast2Coast in terms
of Section 122(1) of the Act. As required in terms of section 122(3) (a) of the Act, Ascendis
has filed the required notice with the Takeover Regulation Panel.
