RESULTS OF ANNUAL GENERAL MEETING (“AGM”) HELD ON 20 NOVEMBER 2014


Shareholders of SVF (“Shareholders”) are referred to the circular, draft prospectus and annexures
thereto sent to Shareholders on 29 October 2014, and the Company’s AGM held on 20 November
2014.

Shareholders are advised that all resolutions proposed in the circular and the notice of the AGM
were approved and passed with the required majority save and except for Special Resolution
Number 19, which resolution failed. In particular, the resolutions required to approve the issue
and listing of additional Class A shares were approved and passed.

Special Resolution 19 related to the proposed amendment to paragraph 2.4 of Annexure B to the
Company’s Bye-Laws. In the circumstances, all proposed amendments to the Bye-Laws of SVF
have been approved and effected, save and except for the proposed amendment to paragraph
2.4 of Annexure B which remains un-changed. A copy of the Company’s Bye-Laws, as amended,
will be made available from the Company’s website from Monday, 24 November 2014, at
www.southernviewfinance.com .

SVF has a primary listing on the BSX and a secondary listing on the Johannesburg Stock
Exchange’s Alternative Exchange.
