CHANGE TO BOARD – RETIREMENT OF LEAD INDEPENDENT NON-
EXECUTIVE DIRECTOR

In compliance with Sections 3.59 of the JSE Listings
Requirements, shareholders are advised that, after 25 years
of distinguished service on the board, Mr Nigel Matthews,
lead independent director, has decided to retire from the
board and as chairman of the remuneration and nominations
committee and as a member of the audit committee.       His
retirement is effective 31 December 2014.

Nigel, who was appointed to the board on 16 November 1989,
was instrumental in facilitating the founding of the
company with Hans Enderle in 1985.

The board and management of City Lodge thank Nigel for his
dedicated service and leadership and valued contribution to
the company during his tenure and wish him well for the
future.

Mr Frank Kilbourn will assume the role of lead independent
director with effect from 1 January 2014.

The appointment of a new chairman for the remuneration and
nominations committee and a further independent non-
executive director as a member of the audit committee will
be announced in due course, as will any other changes to
the constitution of the remaining board committees, should
there be any.
