OPENING OF PRIVATE PLACEMENT


Shareholders are advised that a private placement of shares in the Company will open at 12h00 Mauritian time (10h00
South African time) on Friday, 19 September 2014 and will close at 17h00 Mauritian time (15h00 South African time)
on Monday, 22 September 2014 (“placement”). The placement will take place through the Company’s Mauritian and
South African share registers. For purposes of this placement, investors will be invited by the Company to subscribe
for approximately 32.1 million new shares as follows:

    -   approximately 5.5 million new shares at USD1.83 per share on the Mauritian share register; and
    -   approximately 26.6 million new shares at ZAR20.25 per share on the South African share register.

Investors on the South African share register will be eligible to participate, subject to a minimum subscription of
ZAR1 million per new investor. Investors on the Mauritian share register will be eligible to participate, subject to a
minimum subscription of USD20 000 per new investor.

In line with the Company’s strategy of investing in real estate and real estate companies, as detailed in the updated
Listing Particulars dated 22 November 2013, the additional capital raised through this placement will be used by the
Company to invest in listed real estate securities and/or direct property in selected jurisdictions.

To the extent required, announcements regarding acquisitions, in compliance with the JSE Listings Requirements and
the Listing Rules of the Stock Exchange of Mauritius Limited (“SEM”) will be made in due course.

This announcement is not an invitation to the public to subscribe for shares in the Company and is provided for
information purposes only.

Rockcastle has its primary listing on the SEM and a secondary listing on the JSE. Rockcastle is in the process of
migrating its listing on the AltX to the main board of the JSE and will maintain two primary listings going forward.
The process of migrating the listing is well advanced and Rockcastle expects this to be concluded during the course of
October 2014.
