 COMPLETION OF TRANSACTION RELATING TO TFG’s 55% INTEREST IN RCS

Shareholders are referred to the announcement dated 10 April 2014 in terms of which it was advised
that TFG and The Standard Bank of South Africa Limited (collectively “RCS Shareholders”), RCS
Investment Holdings Limited (“RCS”) and BNP Paribas Personal Finance S.A. (“BNPPF”) (the European
leader in personal loans and a subsidiary of BNP Paribas S.A.) had entered into agreements which
would result in BNPPF becoming the 100% shareholder of RCS (the “Proposed Transaction”).


Shareholders are advised that the Proposed Transaction is now unconditional in accordance with its
terms and is in the process of being implemented accordingly. The Closing Date of the transaction is 6
August 2014 and the estimated proceeds are approximately R2,64 billion, with TFG’s share being
approximately R1,45 billion. The board will continue to evaluate all alternatives as regards the use of
TFG’s share of the net proceeds.
