NOTICE OF GENERAL MEETING RELATING TO THE SUNWEST AND WORCESTER
TRANSACTION, THE SIBAYA TRANSACTION AND THE GPI SLOTS TRANSACTION
1. NOTICE OF GENERAL MEETING
Sun International shareholders are referred to the detailed terms announcement released by Sun
International on SENS on 13 May 2014 relating to inter alia:
• The proposed restructure of shareholdings in SunWest International Proprietary Limited
(“SunWest”) and Worcester Casino Proprietary Limited (“Worcester”) (“the SunWest and
Worcester Transaction”) which will result in Sun International disposing of a 14.9% interest in
each of SunWest and Worcester;
• The proposed acquisition of an additional effective 5.6% shareholding in Afrisun KZN Proprietary
Limited and an effective 7.45% shareholding in Afrisun KZN Manco Proprietary Limited, trading
as the Sibaya Casino and Entertainment Kingdom (“the Sibaya Transaction”); and
• The proposed acquisition by Sun International of a material shareholding in GPI Slots Proprietary
Limited (“the GPI Slots Transaction”).
Sun International shareholders are hereby advised that the circular setting out inter alia, specific details
as regards the SunWest and Worcester Transaction, and the rationale and terms of the GPI Slots
Transaction and the Sibaya Transaction has been formally approved by the JSE Limited and posted to
Sun International shareholders today, Monday, 21 July 2014.
The circular incorporating the notice of general meeting is also available on the company’s website at
www.suninternational.com and can be viewed at its offices at 6 Sandown Valley Crescent, Sandton,
Gauteng during normal office hours.
The general meeting of Sun International shareholders will be held at 09:00 on Friday, 22 August 2014 at
The Maslow Hotel, 146 Rivonia Road, Sandton, 2196, Gauteng, for the purpose of considering and, if
deemed fit, passing, with or without modification, the ordinary resolutions set out in the notice of general
meeting.

Record date to receive the circular and notice of general meeting Friday, 11 July 2014
Circular and notice of general meeting posted to shareholders Monday, 21 July 2014
Last day to trade in order to be eligible to vote Friday, 8 August 2014
Record date to participate in and vote at the general meeting Friday, 15 August 2014
Forms of proxy for the general meeting to be lodged with Sun Wednesday, 20 August 2014

Notes:
a) All dates and times may be changed by Sun International and/or may be subject to the obtaining
of certain regulatory approvals. Any change will be published on SENS.
b) Shareholders should note that as transactions in Sun International Shares are settled in the
electronic settlement system used by Strate, settlement of trades takes place 5 business days
after such trade.
