Appointment to Non-Executive Directors Massmart Holdings Limited (Incorporated in the Republic of South Africa) (Registration Number: 1940/014066/06) Share code: MSM ISIN: ZAE000152617 ("Massmart") APPOINTMENT TO NON-EXECUTIVE DIRECTORS On 10 December 2013 Wal-Mart Stores, Inc. announced the promotion of David Cheesewright to President and Chief Executive Officer (“CEO”) of Walmart International. The promotion of Shelley Broader to succeed him as President and CEO of Walmart EMEA was announced on 30 May 2014. Subsequent to these changes, shareholders are advised that David has resigned from the Board of directors of Massmart (“the Board”) and Shelley has been appointed in his place. Shelley has responsibility for Walmart’s retail operations and business development across Europe, the Middle East, Sub-Saharan Africa and Canada. She was previously CEO of Walmart Canada. Shelley will also replace David as a member of each of the Nomination and Remuneration committees. In addition, Jeff Davis has resigned and in his place Andy Clarke has been appointed to the Board. Andy is the President and Chief Executive Officer of Asda Stores Ltd, the United Kingdom’s second-largest supermarket retailer. The appointment of Shelley and Andy and the resignation of David and Jeff are all effective 16 July 2014. Jeff was appointed to the Board in June 2011, following the Walmart acquisition of control of Massmart, and David in November 2011.
