Results of David Jones Scheme Meeting WOOLWORTHS HOLDINGS LIMITED (Incorporated in the Republic of South Africa) Registration number 1929/001986/06 Share code: WHL ISIN: ZAE000063863 (“WHL”) RESULTS OF DAVID JONES SCHEME MEETING WHL is pleased to advise that at the Scheme Meeting of David Jones Limited (“David Jones”) held today, David Jones’ shareholders voted overwhelmingly in favour of the scheme of arrangement (“the Scheme”) under which WHL (through its Australian subsidiary Vela Investments Pty Ltd), will acquire all of the issued ordinary shares in David Jones (“the Acquisition”). The full results of David Jones’ shareholder voting was released earlier today, and is available on the Company Announcements Platform of Australian Securities Exchange (“ASX”) hosted at www.asx.com.au. David Jones has applied to the Federal Court of Australia for approval of the Scheme at a hearing scheduled for Thursday, 17 July 2014. If approved, the Scheme will become effective on Friday, 18 July 2014. Implementation of the Acquisition is expected to occur on or about Friday, 1 August 2014 after which David Jones will become a wholly owned subsidiary of WHL.
