POSTING OF THE CIRCULAR TO NIVEUS SHAREHOLDERS FOR THE APPROVAL OF A CASH
DIVIDEND WITH THE ELECTION OF A CAPITALISATION ISSUE ALTERNATIVE (THE “CIRCULAR”)
AND NOTICE OF GENERAL MEETING

Shareholders are referred to the Niveus’ reviewed condensed consolidated results for the year ended 31
March 2014, which were released on SENS on 22 May 2014 (“The Announcement”). The Announcement
included reference to a proposed dividend and a capitalisation issue alternative.

The Directors of Niveus propose a gross cash dividend of 28 cents per share or the option to elect a
capitalisation issue alternative of 1 share for every 76 shares held, subject to shareholder approval. The
cash dividend will be paid out of the Company’s retained earnings reserves and will be subject to dividend
withholding tax of 15%, where applicable. There is no Secondary Tax on Company (“STC”) credits
available for utilisation and the net cash dividend is 23.8 cents per share. Niveus has 115 511 585
ordinary shares in issue and Niveus’ income tax reference number is 9564137843.

The following salient dates and times are applicable, if the proposed dividend is approved by
shareholders at the general meeting:
