SUBSEQUENT ANNOUNCEMENT: REVIEWED PROVISIONAL REPORT FOR THE
YEAR ENDED 28 FEBRUARY 2014

Shareholders are referred to the SENS announcement of the reviewed provisional
report for the year ended 28 February 2014 published on Wednesday 18 June 2014,
where it was stated that the auditor’s report contained a modified review conclusion.

In accordance with paragraph 3.18 (g) of the Listings Requirements of the JSE Limited,
below is the extract of the exact modification paragraph from the auditor’s report:

“Basis for disclaimer of conclusion on the condensed consolidated financial
statements

As indicated in the condensed consolidated financial statements, the Group advised
shareholders on 30 May 2014 that it was to lodge an application for business rescue.
This event indicates a material uncertainty that may cast significant doubt on the
Group’s ability to continue as a going concern and, therefore, the Group may be
unable to realise its assets and settle its liabilities in the normal course of business
and at the amounts stated in the condensed consolidated financial statements.

Disclaimer of conclusion on the condensed consolidated financial statements

Because of the significance of the matter described in the Basis for Disclaimer of
Conclusion paragraph, we have not been able to obtain sufficient appropriate audit
evidence to form a conclusion on the accompanying condensed consolidated financial
statements. Accordingly we do not express a conclusion on the condensed
consolidated financial statements of Protech Khuthele Holdings Limited.”
