Shareholders are referred to the announcement released on SENS on Tuesday,
3 June 2014 regarding a bookbuild offering to qualifying investors
("Bookbuild").

PSG Group is pleased to announce that it has successfully priced and
closed the Bookbuild.

PSG Group received bids for a total value of approximately R1.35 billion
and has decided to accept bids to the value of approximately R920 million.
Accordingly a total number of 9 684 033 new PSG Group ordinary shares
("Bookbuild Shares") were placed with qualifying investors at a price of
R95 per Bookbuild Share.

The issue price represents a discount of 4.4% to the closing price of PSG
Group shares on Thursday, 5 June 2014.

Subject to approval by the JSE Limited ("JSE"), listing and trading of the
Bookbuild Shares are expected to commence at 09h00 on Friday, 13 June
2014.

PSG Group would like to thank all investors that submitted bids and
participated in the Bookbuild.
