CAUTIONARY ANNOUNCEMENT


Shareholders are advised that the company has been approached by a third
party and has commenced negotiations for the acquisition of substantial mining
assets, which will result in a reverse listing, a change in control and in the board
as well as cash flow being injected into the group, if successful. If these
negotiations are successfully concluded, it may have an effect on the price at
which the company’s securities trade.

Accordingly, shareholders are advised to exercise caution when dealing in the
company’s securities until a further announcement is made.
