CHANGES TO THE BOARD OF DIRECTORS - APPOINTMENT OF INDEPENDENT CHAIRMAN AND CHANGE OF
ROLES OF DIRECTORS

In compliance with paragraph 3.59 of the Listings Requirements of the JSE Limited, the board of directors of
Compu-Clearing (“the Board”) hereby notifies its shareholders that Mr Lionel Isaac Jacobs has been appointed as
Chairman to the Board, with immediate effect. Lionel previously served on the board of The Bidvest Group Limited, and
has considerable experience in the freight industry, a key market serviced by Compu-Clearing. Lionel’s appointment
strengthens the Group’s governance structures by introducing an independent Chairman to lead the Board.

At the same time, the board of directors announce that Mr Arnold Garber is standing down as Executive Chairman with
immediate effect. He will however be appointed to serve as Chief Executive Officer going forward. Arnold founded
Compu-Clearing over 30 years ago and has grown the company from humble beginnings to a market leader in its niche.
The Board thanks Arnold for his years of dedication as Executive Chairman and welcomes his ongoing involvement..

The board of directors further advise that Mr Johan Du Preez is standing down as Chief Executive Officer with
immediate effect. He will however continue to serve as an executive director. Johan joined Compu-Clearing shortly after
its formation and has been a driving force behind the Group’s success. The Board thanks Johan for his dedication over
the years as Chief Executive Officer and welcomes his ongoing involvement.
