Appointment of independent non-executive director


In accordance with paragraph 3.59 of the JSE Listings Requirements, shareholders are advised
that Prof. Shirley Zinn, Doctor of Education (Harvard University) and Professor of Human
Resources Management : Faculty of Economic and Management Sciences has been appointed
as an independent non-executive director of the Company and member of the Remuneration
and Nominations Committee, with effect from 5 May 2014.

Prof. Zinn is a human resources professional by profession and is a member of Institute for
People Management (IPM) of South Africa, registered with the South African Board of Personnel
Practitioners as a Master Practitioner and a member of the Institute of Directors; Black
Management Forum and Business Women’s Association. She has extensive experience in
human      resources,   including   remuneration   and   rewards   programmes,   organisational
development and transformation. She was previously employed as the global head of human
resources and human resources director at Standard Bank Group Limited and enterprise-wide
human resources manager at Nedbank Limited.

Mr Antony Page, Chief Executive Officer of the Protech Group, stated that he welcomed the
appointment and was looking forward to Prof. Zinn’s contribution as a member of the Board and
the Remuneration and Nominations Committee.
