The Circular contained a notice (“the Notice”) convening a general meeting (“the General Meeting”) to approve the ordinary resolutions required to authorise the Group to proceed with the Proposed Transaction. Shareholders are advised that, at the General Meeting held on 28 March 2014, both of the ordinary resolutions in the Notice were duly passed by the requisite majority of eligible Shareholders present or represented by proxy. Shareholders are reminded that implementation of the Proposed Transaction is subject to the fulfilment (or waiver) of a number of conditions precedent, as set out in the Circular, which are only expected to be fulfilled after the third quarter of 2014.
