CHANGE TO THE BOARD OF DIRECTORS - RESIGNATION OF DIRECTOR



Shareholders are referred to the announcement released into the public domain via SENS on
25 March 2014 by Pinnacle Holdings Limited (previously Pinnacle Technology Holdings Limited)
(“Pinnacle”) (“the announcement”) wherein it is stated Mr Takalani Tshivhase, an executive
director of Pinnacle, has been charged with alleged attempted bribery of a Lieutenant General of
the South African Police Service. The announcement states, inter alia, that Mr Tshivhase denies
all allegations of attempted bribery, and will defend the charges.

Mr Tshivhase was appointed as a non-executive director of the Company in November 2013
subsequent to Pinnacle having acquired a 33.38% beneficial interest in the securities of
Datacentrix. Mr Tshivhase is not involved in the day to day operations of Datacentrix.

In light of the above, Mr Tshivhase has voluntarily stepped down from the Board with immediate
effect until such time that the SAPS case is finalised, at which time Mr Tshivhase’s association
with the Company will be reviewed.
