The alleged disagreement between Ms Bassie Kumalo and Mr Tim Tebeila relates to the Vetleegte
property over which a Prospecting Right has been granted. The Vetleegte Prospecting Right (which I
think to date has not had any technical or economic studies carried out) does not represent or form
part of the Project area that WCC and its Waterberg Coal Project (“WCP”) partners recently
completed a Definitive Feasibility Study (“DFS”) on. The properties which were subject to the DFS,
are Mining Rights covering Smitspan, Massenberg, Hooikraal and Minnasvlakte. The DFS specifically
addresses the Mineral Resources that have been confirmed on Smitspan and Massenberg. The
resources on these mining rights form the basis of the Memorandum of Understanding (“MOU”) for
a coal supply agreement entered into with Eskom Holdings (“Eskom”) in March 2012 (as varied).

Arising from the MOU with Eskom, the WCP partners propose to deliver 10 million tonnes per
annum of coal product as specified by Eskom. As previously advised, the WCP partners has delivered
the DFS to Eskom and is in the process of satisfying all of the Conditions Precedent arising from that
MOU. The WCP partners are currently in negotiations with Eskom to finalise a contract price for the
coal product based on the technical specifications to be delivered by the Project.
