Notice of passing of non-executive chairman BONATLA PROPERTY HOLDINGS LIMITED (Registration number 1996/014533/06) Share code: BNT ISIN: ZAE000013694 (”Bonatla” or “the Company”) NOTICE OF PASSING OF NON-EXECUTIVE CHAIRMAN It is with utmost sadness that the board of directors of the Company ("the board") wishes to inform shareholders, in compliance with paragraph 3.59(b) of the Listings Requirements of the JSE Limited, of the passing of Mr Max Henry Brodie (“Mackie”), the lead independent non-executive chairman of the board, on 15 March 2014. Mackie served on the board of the Company since October 1997 in the capacity as chairman and had a distinguished career, sitting on the boards of Bidvest, Primedia, Rebhold Rebserve and Mvelaphanda inter alia over many years. His JSE listed companies related career extended over 60 years. Mackie will be sadly missed by all, directors and employees alike. On behalf of the board, we express our heartfelt sympathy and condolences to his family and we are grateful to have had access to his loyalty, wisdom, kindness and business experience. Following Mr Brodie`s death, the board will no longer be King III compliant and will need to undergo a restructure as the board currently does not have sufficient non-executive directors. Mr Robin Leslie Rainier, an executive director, will step in as the acting chairman until such time as the restructure of the board has been achieved.
