Limited’s Note Programme

CAUTIONARY ANNOUNCEMENT

Letshego Holdings Limited (“LHL” / “the Company”) was incorporated in
1998, is headquartered in Gaborone and has been publicly listed on the
Botswana Stock Exchange (BSE) since 2002. It is a holding company with
consumer and micro lending subsidiaries across ten countries in
Southern and East Africa - Botswana, Kenya, Lesotho, Mozambique,
Namibia, Rwanda, South Sudan, Swaziland, Tanzania and Uganda.



The Board of Directors would like to inform Shareholders that the
Company has entered into negotiations with a third party in the
Eastern Africa region which, if successfully concluded, and subject to
all regulatory approvals, may result in a transaction that could have
an impact on the price of the Company’s securities.



Accordingly, Shareholders are advised to exercise caution when dealing
in the Company’s securities until a further announcement is made.
