Hollard Holdings (Proprietary) Limited (“Hollard”) has, indirectly through the disposal of shares in River Lily Investments(Proprietary) Limited (“River Lily”) and Newshelf 702 (Proprietary)Limited (“Newshelf”) respectively, reduced its indirect ownership in the Company such that its ownership of the Company’s shares (both direct and indirect) has decreased from 33,3758% to 17.4790%; 2. Capclient Holdings Sarl has, pursuant to the acquisition of shares in River Lily as well as the transactions referred to above, acquired a further indirect ownership interest in the Company such that its ownership of the Company’s securities (indirectly through River Lily and Newshelf) has increased from 41,4411% to 57,3379%. These transactions have been implemented as part of a process designed to achieve the separate regulatory supervision of the Clientele and Hollard groups upon the expected implementation of changes to South African insurance regulations.
