DEALING IN SECURITIES BY A DIRECTOR


SPAR shareholders ("Shareholders") are referred to the announcement dated
12 November 2013 in which the appointment of Graham O'Conner as new CEO and director
of SPAR was announced, which appointment took effect on 1 February 2014. In accordance
with Mr O'Conner's terms of appointment, 50 000 options were offered to him, which he
has now accepted. Accordingly, in compliance with paragraph 3.63 to 3.66 of the JSE Limited
