Change in directors’ responsibilities and interim audit and risk committee announced Protech Khuthele Holdings Limited (Incorporated in the Republic of South Africa) (Registration number 2000/024352/06) JSE code: PKH & ISIN: ZAE000101986 ("Protech" or "the Company") CHANGE IN DIRECTORS’ RESPONSIBILITIES AND INTERIM AUDIT AND RISK COMMITTEE ANNOUNCED In accordance with paragraph 3.59(c) of the JSE Listings Requirements, Protech advises that the Protech Khuthele Holdings Limited board (“the Board”) approved a change in the responsibilities of independent non-executive directors, Ms M Vuso and Mr TW Rensen. At the Company’s 2013 Annual General Meeting held on the 22 November, Ms M Vuso and Mr TW Rensen were not re-elected as members of the Company’s Audit and Risk Committee (“the committee”), receiving 49,64% of shareholder votes against the required majority of 50% plus one vote. Only approximately two thirds of shareholders voted. The Company has endeavoured to fill the two vacancies on the committee, and the appointment of the new members is in progress. However, the Companies Act 71 of 2008, Section 94(6) states that a public company is required to “fill any vacancy on the audit committee within 40 business days after the vacancy arises”. Therefore, Ms M Vuso and Mr TW Rensen have agreed to be appointed as the interim members of the committee as from 22 January 2014 in order for the Company to comply with the requirements of the Act. Ms Vuso and Mr Rensen have impeccable records as members of the committee. The committee now comprises of three members being Ms M Vuso, Mr TW Rensen and Mr M Adamson. Shareholders are advised that Ms M Vuso and Mr TW Rensen will stand down once new members of the Audit & Risk Committee are appointed.
