RESULTS OF SCHEME MEETING OF SHAREHOLDERS
Stella Vista shareholders are referred to the announcement released on SENS on Monday,14 October
2013 and in the press on Tuesday, 15 October 2013 wherein they were advised that the board of
directors of Stella Vista (“the Board”) has received a firm intention offer from Muris Tabakovic, Dario
Tabakovic and Out and About Marketing & Media (Pty) Ltd, (collectively “the Offerors” and acting in
concert), to acquire all Stella Vista ordinary shares that the Offerors do not already own (“the “Offer”), to
be implemented by means of a scheme of arrangement in terms of section 114 of the Companies Act,
2008 (“the Companies Act”), (“the Scheme”). Shareholders are also referred to the circular dated 11
November 2013, setting out the terms and conditions of the Offer and details of the Scheme (“the
Circular”). The terms defined in the Circular shall bear the same meaning in this announcement.
Shareholders are advised that at the Scheme Meeting of Stella Vista shareholders held today, the special
and ordinary resolutions were approved overwhelmingly by the shareholders present and represented by
proxy and eligible to vote. The special resolution approving the Scheme will be filed with the Companies
and Intellectual Property Commission.
Shareholders should note that the implementation of the Scheme remains conditional upon the fulfilment
of certain conditions precedent as detailed in the Circular. Further announcements will be released once
the remaining conditions precedent have been fulfilled.
