                                  266 (Pty) Ltd (“Planet Waves”),

                                  the BEE partner of Calgro M3, of

                                  which Hatla Ntene is a non-

                                  executive director. The sale of

                                  shares   is    to  reduce   Planet

                                  Waves’ debt exposure pertaining

                                  to   the    original   empowerment

                                  transaction when it invested in

                                  Calgro M3.
